To : Federal Trade Commission: Pursuant to 2.41(f) of the Federal Trade Commission's Rules of Practice, 16 C.F.R. 5 2.41(f) (2000) and Paragraph 1II.C. of the Decision and Order in the above captioned matter (the Decision and Order), El Paso Energy Corporation (El Paso) hereby requests approval of the sale of the U-T Offshore System, L.L.C. to Mid Louisiana Gas Transmission Company (MLGT), a wholly-owned subsidiary of Midcoast Energy Resources, Inc. (Midcoast). Capitalized terms not herein defined shall have the same meanings set forth in the Decision and Order. As discussed with Dolores Wood, I am enclosing an original and ten (10) copies of this Public version of the divestiture application and attachments.
